Terms of Service

These Terms of Service (“Terms”) govern all offers, agreements, and services provided by PulseIT (“we”, “us”, or “our”), a webdesign studio based in Leiden, The Netherlands. By engaging our services or using this website, you agree to these Terms.

1. Services

PulseIT provides webdesign and development services, including but not limited to custom website design, branding, landing pages, mobile optimization, and related digital services. The specific scope, deliverables, and timeline of each engagement are defined in a written proposal or agreement between PulseIT and the client.

2. Payments

Unless otherwise agreed in writing, projects are invoiced according to the payment schedule set out in the proposal. A deposit may be required before work commences.

Invoices are payable within fourteen (14) days of the invoice date. If payment is not received on time, we reserve the right to suspend work and withhold deliverables until all outstanding amounts have been settled. Statutory interest and collection costs may be charged on overdue amounts.

3. Intellectual Property

All designs, code, and other materials created by PulseIT remain our intellectual property until full payment has been received, unless otherwise agreed in writing.

Materials supplied by the client (such as logos, texts, and images) remain the property of the client. The client warrants that it holds the necessary rights to all supplied materials and indemnifies PulseIT against third-party claims relating to their use.

4. Website Ownership

Upon full payment of all agreed fees, ownership of the delivered website — including its design and custom-developed code — is transferred to the client. Third-party components, licenses, fonts, and open-source software remain subject to their own respective license terms. PulseIT retains the right to showcase the delivered work in its portfolio and marketing materials, unless otherwise agreed.

5. Liability

PulseIT performs its services with care and to the best of its professional ability. However, we cannot guarantee that a website will be free of defects or available without interruption at all times.

Our total liability for any damages arising from or related to the agreement is limited to the amount paid by the client for the specific service giving rise to the claim. We are not liable for indirect damages, including lost profits, lost data, or business interruption, except in cases of intent or gross negligence.

6. Revisions

Each project includes the number of revision rounds specified in the proposal. Additional revisions or changes that fall outside the agreed scope will be quoted separately and invoiced at our then-current hourly rate after written approval by the client.

7. Delivery

Delivery timelines are estimates and depend in part on the timely provision of content, feedback, and approvals by the client. A project is considered delivered when the website is launched or when the deliverables are made available to the client for production use. Any defects reported within fourteen (14) days of delivery will be remedied free of charge, provided they fall within the agreed scope.

8. Termination

Either party may terminate the agreement in writing if the other party materially breaches these Terms and fails to remedy the breach within a reasonable period after written notice.

If the client terminates a project without cause, work performed up to the date of termination — including the deposit — remains payable. Sections relating to payment, intellectual property, and liability survive termination.

9. Governing Law

These Terms and all agreements between PulseIT and the client are governed by the laws of the Netherlands. Any disputes that cannot be resolved amicably will be submitted to the competent court in the district where PulseIT is established.
